Once project fee is paid in full to Signature Web Design any elements of text, graphics, photos, contents, trademarks, or other artwork furnished to [Company] for inclusion in website are owned by [Company].
The client is to supply all website assets as agreed to in the project plan (website assets may include graphics, logo, copy-writing, photographs, etc.). Failure to provide website assets by the date agreed to in the project plan will likely impact the project completion date. Out of respect for all clients and their project timelines, projects whose website assets are more than five calendar days late will lose priority in the work queue.
Signature Web Design assumes [Company] has permission from the rightful owner to use any images or design elements that are provided by [Company] for the inclusion in the website, and will hold harmless, protect and defend Signature Web Design from any claim or suit arising from the use of such elements. [Company] agrees that it shall defend, indemnify, save and hold Signature Web Design harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees associated with Signature Web Design’s development of [Sample Company’s] web site. This includes Liabilities asserted against the Signature Web Design, its subcontractors, it’s agents, its clients, servants, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by [Company], its gents, employee or assigns.
Signature Web Design retains the rights to display graphics and other web content elements as examples of their work in their portfolio and as content features in other projects. Signature Web Design also retains the right to place a discreet text link at the bottom of the website pages.
Should [Company] decide to abandon the project or discontinue working on the website/project for a period of 30 days, the remaining balance (plus any additional hourly fees assessed) shall be paid to Signature Web Design within 5 days of written notice of abandonment. If [Company] has not provided Signature Web Design with required approvals, feedback, or content for any 30 day period after a request has been initially made, Signature Web Design will consider the project abandoned. If [Company] should decide to restart an abandoned project after the remaining balance has been paid, a project re-activation fee of $750 will apply and Signature Web Design will schedule and finish the project within the scope guidelines dated on this estimate subject to Signature Web Design’s availability. In the event of abandonment of this assignment, ownership of all copyrights and any original artwork shall be retained by the Signature Web Design.
The agreement contained in this contract constitutes the sole agreement between [Company] and Signature Web Design regarding all items in this agreement.
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Colorado, without regard to its conflict of laws rules.
No Guarantees. Signature Web Design makes no representations or guarantee as to the amount of traffic to the [Company’s] site or interest generated in the [Company’s] site. Signature Web Design makes no representations and does not guarantee an increase in [Company’s] sales, nor does Signature Web Design promise top listing in any search engine or directory.
